Terms of Service

1. The service

WineGate is a business-to-business tool for EU alcohol importers: excise and landed-cost calculations, shipment tracking, product catalog, document handling and AI assistance. The service is available at app.winegate.app and through our mobile applications (together, the "Service").

By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a company, you confirm that you are authorised to bind that company, and "you" means that company.

2. Eligibility & accounts

The Service is intended for businesses and professionals in the alcohol import trade. You must be at least 18 years old. You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and for the members you invite to your organization.

3. Not legal, tax or customs advice

We work to keep rate data accurate and cite official sources (such as the European Commission's Excise Duty Tables), but rates and rules change and errors are possible. You remain responsible for verifying figures with the competent authorities and for complying with the law before acting. To the maximum extent permitted by law, we are not liable for decisions made on the basis of the Service.

4. Subscriptions & billing

Paid plans are billed through our payment provider, Stripe, on the terms shown at checkout. Subscriptions renew automatically at the end of each billing period until cancelled. Prices are exclusive of VAT and other taxes unless stated; applicable taxes are calculated at checkout based on your billing details.

Purchases and subscription management are available on the web. Except where required by law, payments are non-refundable for the billing period already started; cancellation stops future renewals.

5. Free trials

We may offer a free trial to new customers. At the end of the trial the subscription converts to a paid plan unless cancelled before the trial ends. Trials are limited to one per customer, and we may withdraw or modify trial offers at any time.

6. Acceptable use

Do not misuse the Service. In particular, you must not:

• use it for unlawful purposes or in breach of applicable trade, customs or alcohol regulations;
• attempt to break security, circumvent rate limits or access other customers' data;
• scrape, bulk-export or resell rate data or other content outside your organization;
• reverse engineer the Service except where the law permits;
• abuse AI endpoints, including automated bulk querying.

We may suspend accounts that abuse the Service.

7. Your data & content

You retain ownership of the business data and documents you upload. You grant PorteVin OÜ the licence needed to host, process and display them for the purpose of providing the Service to you. You are responsible for having the right to upload what you upload. Our processing of personal data is described in the Privacy Policy.

8. AI features

Parts of the Service use large language models (provided by Anthropic) to answer questions, extract data from documents and draft text. AI output can be inaccurate or incomplete. Document extraction results are always shown to you for confirmation before they are saved. Section 3 applies to all AI output.

9. Intellectual property

The Service, including its software, design, branding and curated rate database, is owned by PorteVin OÜ or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. No other rights are granted.

10. Availability & changes

We aim for high availability, but the Service is provided "as is" and "as available" without warranties of any kind. We may change, add or discontinue features. Planned modules shown as "coming soon" are not guaranteed by any date.

11. Limitation of liability

To the maximum extent permitted by law: (a) we are not liable for indirect or consequential loss, loss of profit, loss of data or business interruption; and (b) our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

12. Termination

You may stop using the Service and delete your account at any time (in-app: Settings → Account). We may suspend or terminate access for material breach of these Terms or where required by law. Sections 3, 7, 9, 11 and 13 survive termination.

13. Governing law

These Terms are governed by the laws of Estonia, and disputes are subject to the exclusive jurisdiction of the courts of Estonia, unless mandatory consumer or local law provides otherwise.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or in-app notice and update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance. The most recent version is always available at winegate.app/terms.
